USER TERMS AND CONDITIONS

These Terms and Conditions form part of the agreement between Onboard Space and their Members. If you do not agree to these Terms and Conditions you must not use the website.

Onboard Space can be accessed on a website at the address www.onboardspace.com at the same time, in the form of a platform. By using the Onboard Space website you accept these Terms and Conditions.

Onboard Space has been designed as a platform to put Boat Owners or their Representatives looking for Crew and anyone looking for a boat or position in the marine industry in contact with each other. Therefore, the platform enables Members to post and view adverts and to interact with each other in order to find a suitable boat/position or a Member of Crew.

You can view the adverts if you are not registered on the platform. However, you cannot apply for adverts without having first created an account and become a Member.

The trading name “Onboard Space", the internet address "onboardspace.com" and the Onboard Space logo are the intellectual property of Hortensia Chapela Nunez and may not be used, copied or reproduced in any form without the specific permission of the owner.

In using the website and in accepting these Terms and Conditions, you understand and recognise that Onboard Space is not party to any agreement, contract or contractual relations of any nature entered into between the Members of its website.

Onboard Space does not guarantee that the website will be fault free and do not accept liability for any errors or omissions.

By registering on the website and clicking login you recognise having read and accepted all these general Terms and Conditions.

Onboard Space reserve the right to modify these Terms and Conditions at any time. The modified Terms and Conditions will be binding on all users from the time of publication on the website. By continuing to use the service after we post any such changes, you accept these Terms and Conditions, as modified.

We reserve the right to deny access to this website, or any service provided via this website to anyone who violates this agreement or who, in our judgment, interferes with the ability of others to enjoy this website, or infringes the rights of others.

Onboard Space has no control over the behaviour of its Members and the users of the website. It does not own, exploit, supply or manage the vessels subject of the adverts, and it does not offer any trips on the website. Therefore, you recognise and accept that Onboard Space does not control the validity, truthfulness or legality of the adverts, spaces onboard or trips offered. Onboard Space does not provide any transport services and does not act in the capacity of a charter business. The role of Onboard Space is limited to facilitating access to the platform.

DEFINITIONS

In these Terms and Conditions, "we", “our” and "us" means Onboard Space which is a trading name of self-employed business Hortensia Chapela Nunez, registered in Spain under number 78733603A, whose registered office is at La Junquera 7, Moana 36950, Pontevedra, Spain.

Sailing Opportunity means the advertisement about a sailing voyage or job opportunity onboard/onshore posted on the website by a Boat Owner or their Representative such a captain, skipper or agent.

Account means the account that must be created in order to become a Member and access certain services offered by Onboard Space.

Member means any individual having created an account on the website.

Boat Owner means the Member using the website to offer a place or position (by means of an advert) onboard a boat or onshore, at a defined time, to another individual. Likewise, the Boat Owner or Representative may search for crew on the website.

Crewmember means the Member looking for a place or position onboard a boat or onshore offered by means of an Advert placed by the Boat Owner or their Representative on the website.

Representative means the person authorised by the Boat Owner to place an advert, search for crew and accept an application on their behalf.

Our Fee means, for a given trip or specific job opportunity, the amount of money requested by Onboard Space to the Boat Owner and Crewmember after they have both agreed to accept the advert offer/application. Onboard Space uses ‘credits’ as its payment method.

Accepting means the action of both the Boat Owner and Crewmember agreeing to each other’s offer and paying for the relevant fees. Onboard Space, after receiving the fees, will contact the Members informing them of each other’s contact details.

Advert means the sailing or other opportunity offered by a Member on the Onboard Space platform

Space means the place available onboard a boat either for a sailing trip, course or a job opportunity, and onshore for a job opportunity or course.

Services means all services delivered by Onboard Space via the platform.

Website means the website accessible at the address www.onboardspace.com.

Platform means the system created by Onboard Space facilitating, amongst other services, exchanges of information between Boat Owners and Crew.

HOW IT WORKS

An advert is posted on the Onboard Space’s platform by a Boat Owner (or Representative) looking for crew.

Anyone looking to join a boat (Crewmember) for a sailing trip, course, or other marine activities can search the platform to find an advert opportunity of their interest.

The Boat Owner and the Crewmember can both interact with each other via email and ask all the relevant questions before accepting to travel together.

When the Boat Owner and Crewmember have both clicked the ‘accept’ button on the advert screen and completed the payment, Onboard Space will then email them each other’s personal contact details.

REGISTRATION AND MEMBERSHIP

To register on the website, you must have read and accepted these Terms and Conditions and the Privacy Policy.

Onboard Space reserve the right to refuse, suspend, or terminate Members’ profiles at their sole discretion.

Membership is open to all ages (18 years or over) and experience levels, subject to acceptance. In accessing, using or registering on the platform, you represent and guarantee that you are aged 18 or over. Members under the age of 18 must provide Parental/Guardian consent.

Onboard Space membership is available worldwide using Onboard Space’s website. Boat Owner and Crew Membership is offered free of charge and will be accepted by completing a registration form online.

To create a Member’s account, all the mandatory fields on the online registration form must be completed.

When creating a Member’s account, the Member agrees to provide accurate and true information and to update it through their profile when necessary. Also, the Member will not register under the name of, nor attempt to enter the service under the name of, another person. We reserve the right to reject or terminate any username that, in our judgment, we deem offensive.

On registering with us, Members are issued with a username and password, this must always be used in order to access certain restricted parts of the website. The username and password are the methods used to identify our Members. It is the Member’s responsibility to keep their password secure and change it regularly, including when they suspect that others may have seen it.

The username and password are personal to each registered user and are not transferable to third parties. Members are responsible and liable for all information posted on the platform and any actions of any person logging into the platform using their username and password (including, without limitation, any adverts posted on the platform via their account). Members should notify us immediately if they suspect unauthorised use of their account.

The platform provides its Members with a personal profile which includes ratings and reviews by other Members, helping users make a more informed decision.

Members are requested to promptly update changes of personal circumstances such as change of address or contact details.

The Members (Boat Owners and Crewmembers) act under their sole and full responsibility.

Onboard Space reserves the right to remove Member’s profiles and adverts from the website.

Information on boats, Boat Owners and Crewmembers received from Onboard Space, should not be passed on to any other person under any circumstances. Any breach of these requirements would result in immediate termination of membership.

Members recognise and accept that any information that has passed the verification procedure existing on the platform cannot guarantee the truthfulness, reliability or validity of such information. Members accept that it is their responsibility to verify the accuracy of such information before using it. The views expressed by other users on our website do not necessarily represent our views or values.

Boat Owners have the option to search for crew and invite them to apply for one of their own advert opportunities sending a message via the Onboard Space platform. Each invite sent generates a cost and a fee must be paid using the platform credits payment method. Crewmembers will be notified by email every time a Boat Owner sends them an invitation. Only one invitation is allowed per advert to the same Member. If Crewmembers prefer not to be notified, or be included in the searches, they can turn off such notifications on their dashboard by modifying their privacy settings.

By registering as a Member you authorise Onboard Space to circulate your personal details to other registered Members, i.e when the advert has been accepted. If you do not wish to have your details passed on to other Members, you must not use the website. Please refer to our Privacy Policy for full details.

Boat Owner:

Registration entitles each Boat Owner to have their personal details and crew requirements circulated to other Onboard Space Members.

Onboard Space reserves the right to refuse, suspend or cancel a Boat Owner registration at any time at their sole discretion.

The Boat Owner is requested to promptly notify Onboard Space by updating their profile in the case of any changes of personal circumstances such as change of address, personal contact details or any changes to the vessel.

The Boat Owner should update their advert opportunity, as soon as possible, when an advertised trip is full or withdrawn for any reason.

Boat Owners can edit adverts and send (for a fee) an automatic message to Members to notify them of these changes.

The Boat Owner is reminded of their legal responsibility for the safety of their vessel and their crew at all times, in accordance with International Maritime Law.

Onboard Space recommends that each Boat Owner hold adequate insurance for their vessel and crew.

Information is given and logged by the Crewmember registering their details, therefore the Boat Owner must satisfy themselves as to the suitability and competence of any crew they engage.

The Boat Owner agrees to wait for the crew at the meeting place and agreed time. Also, in the case of any delays (i.e. for bad weather), to inform the crew as soon as possible.

As a Boat Owner you must ensure that you can be contacted by the Crewmember by phone on the number registered on your profile.

Crewmember:

Information is given and logged by the Boat Owner registering their details, therefore all Members must satisfy themselves as to the appropriateness, suitability and safety of any boat on which they propose to crew and the competence of the Captain and other crew.

The Crewmember agrees to adopt appropriate behaviour during the trip and to respect the Boat Owner, other Crewmembers and the vessel and its cleanliness.

The Crewmember agrees to wait for the Boat Owner at the meeting place and agreed time. Also, in the case of any delays, to inform the Boat Owner as soon as possible.

The Crewmember agrees to communicate to Onboard Space, or any Member who so asks, their identity card details or any document such as certificates providing identity and qualifications.

The Crewmember must not carry, during a trip, any item, goods, substance or animal that could hinder the safety of the trip and without previous permission of the Boat Owner.

In the case of another country being visited, the Crewmember agrees to hold and keep available to the Boat Owner, and any authority that may so request, any document providing identity and the right to travel to the country visited.

As a Crewmember you must ensure that you can be contacted by the Boat Owner by phone on the number registered on your profile.

ACCESSIBILITY

Onboard Space will endeavour to maintain uninterrupted access to the website. Nevertheless, access to the website may be temporarily suspended, restricted or terminated at any time without notice, owing to technical maintenance, migration or update operations, or owing to outages or constraints linked to the operation of the website. We will not be liable to you if, for any reason, the website is unavailable at any time or for any period. Furthermore, Onboard Space reserves the right to modify or suspend all or part of access to the website or its functionalities, at its sole discretion, temporarily or permanently.

We do not monitor, verify or endorse the accuracy of information hosted on the website, or the information submitted by third parties, and Members should be aware that such information may be inaccurate, incomplete or out of date.

We do not give any guarantee that the website is free from viruses or anything else which may have a harmful effect on any technology. We will not be liable for any loss or damage caused by a virus, or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material owing to your use of the website or to your downloading of any content on it, or on any website linked to it.

We have the right to disable any username or password at any time if, in our reasonable opinion, someone has failed to comply with any of the provisions of these Terms and Conditions.

We reserve the right (without limiting our rights to seek other remedies) to remove offending material placed on the website that we consider to constitute a misuse of the website or which is otherwise harmful to other users of the website. We may also suspend or permanently refuse access to the website to anyone who we (acting reasonably) suspect to have breached or be likely to breach these Terms and Conditions.

We will not be responsible, or liable to any third party, for the content or accuracy of any content posted on the website by our Members or users.

We provide tools that enable our Members to search for sailing trips and crew. We do not supervise these trips and are not involved in any way with the actions of any individuals. As a result, we have no control over the identity of the individuals who are present at these trips, and we request that our Members exercise caution and good judgment when embarking on such trips.

Members can hide their profile at any time so other Members cannot have access to their account. Boat Owners can hide their profile but only when adverts are not published on their account.

In order to post an advert, the Member must own a boat or be the Boat Representative (with the permission of the Boat Owner). The boat intended to be used for the trip must be well maintained, provided with beds/berths if necessary and hold appropriate insurance for the duration of the trip. Boat Owners must not offer more spaces than the number available onboard.

When posting an advert, the Boat Owner may indicate important sailing information such as the marinas they intend to visit for refuelling and victualling.

Boat Owners recognise that they are solely responsible for the content of the advert they post on the platform. Consequently, Members represent and guarantee the accuracy and truthfulness of all information contained in their advert, and undertake to fulfil the trip under the conditions described in the advert.

Providing the advert complies with these Terms and Conditions, it will be posted on the website and therefore will be visible to Members and all visitors conducting a search on the website, including non-Members.

Adverts may be shared on social media platforms in order to provide Onboard Space Members with information about new sailing opportunities.

Onboard Space reserves the right, at its sole discretion and without notice, to accept, modify, reject or remove, at any time, any advert which in their opinion may mislead, confuse, upset or cause offence to any other party or that it considers as damaging to its image, that of the platform, or that of the services.

The advert will expire and be removed from the website (opportunities page) on the trip starting date or as soon as it has been accepted and payment received from both the Member posting the advert and the Crewmember applying for it.

Below are some examples of what is not allowed and must be avoided when posting an advert opportunity:

We do not allow an inappropriate advert title, description or imagery.

We do not allow adverts that display shocking content or promote hatred, intolerance, discrimination or violence.

We do not allow content that harasses, intimidates, or bullies an individual or group of individuals or that seeks to exploit others.

We do not allow the use of images that are meant to shock, scare, or otherwise cause a dramatic negative response in viewers.

We do not allow the use of sexually suggestive or explicit images.

We do not allow the use of language that targets specific people, or specific demographics.

We do not allow the use of obscene, violent or rude language.

We do not allow adverts that display shocking content or promote hatred, intolerance, discrimination or violence on the basis of race or ethnic origin, religion, disability, age, nationality, veteran status, sexual orientation, gender, gender identity, or other characteristic that is associated with systemic discrimination or marginalisation.

If a user finds an advert opportunity on the Onboard Space website that they think is abusive, fake or fraudulent, they can let us know by reporting the advert. To do this, users simply go to the advert and click the "Report advert" button. We will open up an investigation and take the necessary action.

Adverts will be deleted and removed from the Onboard Space system after one year of the trip start date.

RATINGS AND REVIEWS

Onboard Space encourages Members who have participated on a trip to leave a review after the trip starting date.

Members can use our integrated ‘star’ system to rate their experiences and leave a brief comment in their own words. To leave a review, Members can click on the relevant ‘Rate’ button that appears on their Applications and Requests page for trips that have already happened and follow the instructions.

Reviews and ratings are visible and published on the platform immediately after the Members have left a review. Reviews left by Members can be viewed on the respective profiles.

Published ratings and reviews cannot be edited or deleted by our Members in order to maintain the integrity of the ratings system.

You recognise and accept that Onboard Space reserves the right to remove, or not to publish, any review, any question, any comment or any response if it deems its content breaches these Terms and Conditions.

In order to respect our Members’ privacy, boat names, personal data, contact details, email addresses, advertising or web links must not be included in reviews. Also, personal or intimate details about people must not be disclosed.

Members giving false or fake ratings and reviews may have their membership suspended or terminated.

We reserve the right (but have no obligation) to monitor, remove, or edit Member reviews at our sole discretion, including if content violates this agreement, but you acknowledge that we may not regularly review submitted Member reviews. You also acknowledge and agree that any Member reviews that you submit are non-confidential and non-proprietary. We take no responsibility and assume no liability for any Member reviews submitted by you or any other Member or third party.

When leaving a review, it is important to describe the facts and provide reasons, in particular if it is a negative review.

Onboard Space reserves the right to suspend your account, limit your access to the services, or terminate these Terms and Conditions in the case where you have received at least five reviews and the average review you have received is less than or equal to two stars.

CANCELLATION

Only trips/job opportunities that have been applied for, confirmed and paid are the subject of this cancellation policy.

Onboard Space does not offer any guarantee, of any nature, in the case of cancellation of an advert, for any reason, by a Member.

When the Boat Owner cancels a trip before the planned departure date mentioned in the advert or has not arrived at the meeting point, the Boat Owner’s fee is retained by Onboard Space and the Crewmember is refunded the whole of the sum paid. The Crewmember has to inform Onboard Space within 30 days from departure date in order to be refunded.

When the Crewmember cancels a trip before the planned departure date mentioned in the advert or has not arrived at the meeting point, the Crewmember’s fee is retained by Onboard Space and the Boat Owner is refunded the whole of the sum paid. The Boat Owner has to inform Onboard Space within 30 days of departure date in order to be refunded.

WITHDRAWAL

Members have no right of withdrawal from the time of trip confirmation and once the contract between the Member and Onboard Space (consisting of Onboard Space informing a Member of another Member’s contact details) has been fully executed.

TERMINATION OF ACCOUNT

You can terminate your contractual relations with Onboard Space at any time.

To change your privacy settings, click on the Profile icon, from there go to the bottom of the page where you will find ‘Privacy Options’, here you can check or uncheck the options you want, such as ‘Hide my profile’ (to make your account inactive), and click on the Save changes to apply. Also, located at the bottom of each email received from Onboard Space you have an automated option which allows you to change your privacy settings.

If you wish to delete your account, contact us at info@onboardspace.com. Note that we may retain certain information as required by law or for legitimate business purposes as may be necessary to fulfil the purposes identified in the Privacy Policy. We may also retain archived copies of information (including location information) about you for a certain period of time.

RULES

Members must not open more than one account on the platform, impersonate any person or entity, or falsely state or otherwise misrepresent their affiliation with a person or entity.

Upon creation of an account, Members must not send Onboard Space or Members any false, misleading, malicious or fraudulent information. We will not allow inappropriate messages to be sent.

Members are responsible for ensuring that no data is uploaded or submitted which is illegal, unlawful, harmful, threatening, untrue, defamatory, obscene or abusive or otherwise in breach of any applicable laws or rights of third parties.

Members must not include telephone numbers, email addresses or full names on email messages or their profile contents.

Members should not speak or behave in any way, or post any content on the platform, of a defamatory, injurious, obscene, pornographic, vulgar, offensive, aggressive, violent, threatening, harassing, racist or xenophobic nature, or with sexual connotations, inciting violence, discrimination or hatred, encouraging activities or the use of illegal substances, or more generally contrary to the purposes of the platform, that may infringe the rights of Onboard Space or a third party or contrary to good morals.

Members must not obtain or attempt to obtain any information through any means not intentionally made available on the platform. Therefore, bypassing the application system of the platform by trying to send another Member their contact details in order to make the application outside of the platform and avoid paying the fee is not allowed.

To report a user for fake or fraudulent activity, misleading information, abuse and violating Onboard Space Terms of Use, Members can go to the user profile and click the “Report Member” button. We will open up an investigation and take the necessary action.

Sending a report does not mean that the reported Member or advert will automatically be suspended; it means that we will investigate and review the report and decide on the proper action. False reporting will not be tolerated. If we feel that a report is false or suspicious in nature, the Member will be contacted. We have the ability to deactivate a user account if we feel that they are abusing the platform.

As a Boat Owner:

You will respect all laws, regulations and codes applicable to sailing and will be in the possession of a valid sailing licence, where necessary. You are responsible for checking that your insurance policy covers your advertised trip for the whole duration of it. The vessel should be well maintained and insured.

You are responsible for the vessel and must behave appropriately and responsibly during the trip. You must not take any risk when sailing, or take any product that may impair your attention and your abilities to sail vigilantly and completely safely. You must not have any contraindication or medical incapacity for sailing.

You should wait for Members at the agreed meeting place and the agreed date. Taking into consideration that weather conditions may affect some planning, when this is the case you must communicate with the Crewmember as soon as it is possible and at the shortest time period. If, for any reason, there is a holdup or change to the start time of the trip, you are responsible for informing your Crew without delay.

You must not provide more spaces onboard than the number indicated in the Advert.

You must provide Onboard Space or any Member who so requests, your sailing licence, your vessel registration certificate, your insurance certificate, your medical certificate and any document demonstrating your capacity to use the vessel as the Boat Owner or Representative.

You cannot post an Advert relative to a vessel you do not own or that you are not authorised to use.

You must not decline any application based on race, colour, ethnicity, national origin, religion, sexual orientation, marital status, disability, physical appearance, pregnancy, special vulnerability due to their economic situation, name, place of residence, health, political opinion and age.

You must not reproduce, adapt, modify, distribute, publicly represent and disseminate the platform, the services and the content, with the exception of that authorised by Onboard Space.

You must not extract or attempt to extract a substantial part of the data of the platform.

FEES

Access to and registration on the platform, as well as searching, viewing and posting adverts, are free of charge.

Onboard Space will ask the Boat Owner and Crewmember for the payment of fees as soon as the advert opportunity has been accepted by both Members. The payment of fees will give the Members access to each other’s contact details.

When a Member successfully pays for an advert opportunity via the platform there is a twelve hour window to allow for the other Member involved in the same opportunity application to make the payment. In the event that one of the Members has not issued the payment within the twelve hour period, the payment time will expire and the system will not allow this Member to apply for the same advert opportunity again.

Onboard Space provides Members a credit system to make payments on the website. Credits may be used in the same way as real money to pay for fees that will give access to Members’ contact details.

Credits can only be purchased from the Onboard Space website. Members can buy credits by paying with a credit card through the secured PayPal system. Onboard Space will issue an invoice for each credit or credit package purchased on the website. For this, the Member must provide Onboard Space with all the necessary details.

The Member can choose to buy one single credit at the price of €5 (Euros) per credit or more credits from the various credit packages available, for example 10 credits at the cost of 42,50 Euros. All fees include IVA (VAT tax in Spain), if applicable.

Each Member may be allocated an account with three starting credits free of charge when they register for the first time with Onboard Space.

You recognise and accept that Onboard Space may, at its full discretion, update their fees at any time.

Credits are non-refundable. Once the payment, is made it will be charged in full without the option of a refund.

In the event that Onboard Space blocks an advert because it considers, in its absolute discretion, that said advert infringes the Terms of Use, Onboard Space will not refund the credits used in relation to this advert.

The credits purchased and free of charge starting credit are not redeemable for cash and are not transferrable. The credits are associated with the email account that must be indicated when buying the credits. Credits cannot be transferred between accounts (i.e. from one email to another) even if the owner of the accounts is the same.

Credits do not expire as long as you are registered as a Member on the Onboard Space platform. However, there is a limit on how many unused credits you may have at one time.

REFUNDS

Onboard Space are unable to provide refunds for any accepted positions that have already been paid by both Members involved in the advert application. For more details on refunds, refer to the cancelation policy.

A link to another website does not constitute our endorsement of that website (nor of any product, service or other material offered on that site).

We are not responsible for, and cannot guarantee the performance of, goods and services provided by our advertisers or others to whose sites we link.

You may link to this website, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it.

COMPLAINTS

You can, if necessary, present your complaints relative to our platform or our services.

You are bound to notify Onboard Space in writing of any dispute in order to obtain an amicable solution.

SECURITY AND SAFETY

Onboard Space cannot guarantee the accuracy of the information given by its Members on the website and cannot be held liable for the effective occurrence of a trip owing to erroneous information communicated by the Boat Owner in the advert, or by any other means, with regard to the trip and its terms.

Messages between Members are for understanding the details of the advert in advance and we moderate them for safety.

Boat Owner’s details and any other information provided by Onboard Space must not be passed to any other person under any circumstances. Any breach of this condition will result in immediate termination of Onboard Space membership.

All Members are expected to act in a professional and respectful manner at all times and report any illegal or suspicious activities to the relevant authorities, in accordance with international maritime law and the laws of the country that they are visiting at the time.

Onboard Space may, for the purposes of transparency, improving trust, or prevention or detection of fraud, set up a system for verification of some of the information you provide on your profile.

We may disclose your identity or other information to law enforcement authorities where we reasonably consider it necessary to do so.

No part of any information or document may be reproduced, stored in a retrieval system, or transmitted in any form by any means, electronic, mechanical, photocopying, recording, or otherwise, without prior permission of Onboard Space.

Onboard Space cannot be held liable for the cancellation or modification of a trip by a Member. Also, for the behaviour of its Members during, before or after the trip.

There are risks attached to sailing and Onboard Space cannot be held responsible for any accident, injury, loss or damage however caused as the result of a trip applied for through the Onboard Space website.

Onboard Space recommends our Members hold adequate personal accident, sickness and life insurance cover.

We do not review or guarantee the accuracy of any posting made in our blogs and other areas available for public postings (i.e. social media). You can expect these areas to include information and opinions from a variety of individuals and organisations other than us.

Any breach of security of a username and password should be notified to us immediately.

All information provided by Onboard Space is protected by copyright, trademark and other intellectual property laws.

You may not reproduce any of the materials available through this website without the prior written consent of the owner.

You may not distribute copies of materials found on this website in any form (including by email) without prior written permission from the owner.

Onboard Space cannot take responsibility for any accident, injury, loss or damage caused by a result of an advert application and trip taken.

We reserve the right (but assume no obligation) to delete, move, or edit any postings that come to our attention that we consider unacceptable or inappropriate, whether for legal or other reasons.

It is strictly forbidden for our users to act in a malicious manner; loading, posting, emailing, transmitting or otherwise making available any content or material that contains software viruses, computer codes, files or programs designed to interrupt, destroy or limit the functionality of any computer software, hardware or other equipment, or to cause a security breach of such software, hardware or other equipment.
